Terms of Service
These terms apply when you access the Coderoffice website or use an application, prototype or online service that links to these terms.
These are the public application and website terms for Coderoffice. Separate written proposals, statements of work, invoices or client agreements may contain additional project-specific terms. If there is an inconsistency, the specifically agreed written terms for that project take priority to the extent of the inconsistency.
1. Acceptance of these terms
By accessing or using a Coderoffice website, application, prototype or online service that links to these terms, you agree to comply with these Terms of Service and our Privacy Policy. If you do not agree, do not use the relevant service.
2. Prototype and demonstration services
Some Coderoffice services are prototypes, demonstrations, previews or experimental features. They may use simulated data, may change without notice, and may not have the availability, accuracy, security controls or support commitments of a separately contracted production service.
Unless we expressly agree otherwise in writing, prototypes should not be relied on for safety-critical, medical, legal, financial, emergency, surveillance or other high-risk decisions.
3. Your responsibilities
When using a Coderoffice service, you agree that you will:
- provide accurate information where information is required to use a feature;
- use the service only for lawful purposes and in a way that does not infringe another person's rights;
- keep your device, passwords, access credentials and connected accounts reasonably secure;
- not attempt to interfere with, reverse engineer, bypass, overload or gain unauthorised access to the service or its infrastructure except where a right to do so cannot lawfully be excluded;
- not use the service to distribute malware, spam, unlawful content or material that you do not have the right to use; and
- comply with the terms of any third-party service you choose to connect.
4. Connected third-party services
A Coderoffice application may allow you to connect services supplied by third parties, such as Google. Those services are provided under the third party's own terms and policies. You remain responsible for deciding whether to authorise a connection and may revoke that connection through the relevant provider where supported.
We are not responsible for an outage, policy change, account restriction or other issue caused by a third-party service outside our reasonable control.
5. Intellectual property
Unless otherwise stated or separately agreed in writing, Coderoffice owns or licenses the website design, software, demonstrations, branding, documentation and other material we provide. These terms do not transfer ownership of our intellectual property to you.
You retain ownership of content and data that you lawfully provide. You grant us only the rights reasonably required to process that material for the purpose of providing the feature or service you requested.
6. Availability, changes and suspension
We may maintain, modify, replace or discontinue public features and prototypes. We may also restrict access where reasonably necessary for security, abuse prevention, legal compliance or protection of users and systems.
If a paid or contracted service has specific availability, support, notice or termination commitments, those commitments will be set out in the applicable client agreement rather than these general public terms.
7. Information and AI-generated output
Software, analytics and AI-assisted features can produce incomplete, inaccurate or unexpected results. You are responsible for reviewing outputs before relying on them, particularly where a decision may materially affect a person, business or system.
8. Consumer rights
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, including rights that may apply under the Australian Consumer Law.
9. Liability
To the maximum extent permitted by law, Coderoffice is not liable for indirect, incidental or consequential loss arising from use of a free public prototype or demonstration. Any limitation of liability for a paid client engagement will be governed by the applicable project agreement and mandatory law.
This section does not limit liability to the extent that it cannot lawfully be limited or excluded.
10. Privacy
Our Privacy Policy explains how we handle personal information and, where applicable, Google user data used by connected application features.
11. Changes to these terms
We may update these terms to reflect changes to our services, legal requirements or operating practices. The current terms will remain available on this page with the latest update date.
12. Governing law and contact
These general public terms are governed by the laws applicable in South Australia, Australia, subject to any mandatory law that applies otherwise. Questions can be sent to hello@coderoffice.com.au.
